These Terms of Service ("Terms") govern your use of Auctoritas Suite's executive assistant and operational support services ("Services") provided by Auctoritas Suite ("Company," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Auctoritas Suite provides premium executive assistant and operational support services, including:

• Dedicated professional assistant services (human-powered)
• AI-enhanced workflow automation and optimization
• Calendar and email management
• Travel coordination and lifestyle management
• Contact management and relationship tracking
• Expense report management and financial coordination
• Access to our proprietary Auctoritas App platform

We offer two service tiers: Concierge (starting at €1,950/month) and Executive Suite (starting at €4,390/month), with detailed pricing provided during the application process.

3. Eligibility and Account Requirements

To use our Services, you must:

• Be at least 18 years of age and legally capable of entering into contracts
• Complete our application process and be approved for membership
• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account

We reserve the right to refuse service or terminate accounts at our sole discretion.

4. Service Delivery and Performance

4.1 Service Hours

Service hours are included based on your selected tier (20 hours for Concierge, 60 hours for Executive Suite). Additional hours may be available for purchase.

4.2 Response Times

We strive to respond to requests within reasonable timeframes based on urgency and complexity. Executive Suite members receive priority handling.

4.3 Service Limitations

Our services do not include:

• Illegal, unethical, or inappropriate activities
• Personal services unrelated to professional operations
• Financial advice, legal counsel, or medical assistance
• Tasks requiring specialized licenses or certifications

5. Payment Terms

5.1 Subscription Fees

Services are billed monthly in advance. Subscription fees are non-refundable except as expressly provided in these Terms.

5.2 Additional Charges

Additional charges may apply for:

• Hours exceeding your plan allocation
• Third-party services or purchases made on your behalf
• Specialized projects or one-time setup fees

5.3 Payment Processing

Payments are processed automatically using your provided payment method. Failed payments may result in service suspension.

6. Cancellation and Termination

6.1 Client Cancellation

You may cancel your subscription with 30 days' written notice. Cancellation will be effective at the end of your current billing cycle.

6.2 Company Termination

We may terminate your service immediately for:

• Breach of these Terms
• Non-payment of fees
• Inappropriate or abusive behavior toward our staff
• Violation of applicable laws or regulations

6.3 Data Return

Upon termination, we will provide you with access to your data for 30 days, after which it will be securely deleted.

7. Confidentiality and Privacy

We understand the sensitive nature of the information you share with us. Our team is bound by strict confidentiality agreements, and we implement robust security measures to protect your data.

8. Intellectual Property

8.1 Our Property

The Auctoritas Suite platform, software, and methodologies remain our exclusive property. You may not copy, modify, or distribute our proprietary systems.

You retain ownership of all content and data you provide to us. By using our Services, you grant us a limited license to access and process your data solely for service delivery purposes.

9. Limitation of Liability

To the maximum extent permitted by law, Auctoritas Suite shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party actions or services
• Delays or failures due to circumstances beyond our control

Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Auctoritas Suite from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of third-party rights.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the European Union and the jurisdiction where Auctoritas Suite is incorporated.

11.2 Dispute Resolution Process

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or resolved through competent courts.

12. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email. Your continued use of our Services constitutes acceptance of the modified Terms.
